Archway is shaking things up with its very first quadratic funding round. The inspiration behind this comes from the desire to address funding challenges faced by dapps and initiatives that provide widespread benefits to the community. Quadratic funding rounds democratize the funding process, ensuring that even smaller contributors have a meaningful impact. Archway will allow for dapp teams to receive more equitable funding through community voting. Archway's quadratic funding round is all about fairness, inclusivity, and showing some well-deserved appreciation to the builders who are shaping Archway's future.

For this round, 13 dapp teams will be participating. These dapp teams are all building valuable projects within the Archway ecosystem.

Archway Quadratic Funding Terms

Participation in the Quadratic Funding Contest (the “Contest”) constitutes Participant’s full and unconditional agreement to and acceptance of these Rules which are final and binding. Winning a prize is contingent upon being compliant with these Rules and fulfilling all other requirements set forth herein or communicated by Archway from time to time.

Sponsor

The Contest is sponsored by Archway Services Ltd. (“Sponsor”), located at Floor 4, Banco Popular Building, Road Town, Tortola, British Virgin Islands, VG1110.

Scope of the Contest

Sponsor has granted DoraHacks 300,000 ARCH Tokens to form a prize pool (the “Prize”) for community-driven project funding.
The Archway community will be able to vote for their favorite team(s) (the “Winners”) by using ARCH tokens to cast their votes for their favorite projects. The ARCH token spent by voters will be used to form the Prize pool and will be directly distributed to the project chosen by the voter. For more information on voting please refer to the Voting Guidelines.

Eligibility

The Contest is open to anyone who is at least eighteen (18) years old at the time of entry and who does not reside or is located in the U.S or any of the jurisdictions listed in Exhibit A (“Participant”).   Employees of the Sponsor and its subcontractors involved in the Contest and their respective relatives are excluded from participation.

Winner Notification

Winners will be notified by email. Each winner will be required to complete, electronically sign and submit the documentation required by Sponsor in order to claim his/her Prize. If a potential winner cannot be contacted, or fails to submit the documentation within the required time period (if applicable), or prize is returned as undeliverable, potential winner forfeits the Prize. Winners must continue to comply with all terms and conditions of these Rules, and winning is contingent upon fulfilling all requirements. In the event that a Winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate Winner determined by submission receiving the next highest vote count from the community.

KYC

All Winners must provide Archway with their personal information to carry out a Know Your Customer (“KYC”) screening to ensure the eligibility requirements are met.  KYC information includes but is not limited to government-issued identity documents and proof of address.  Archway is committed to protecting and respecting your privacy. Any access and use of your personal information will be subject to applicable law and our Privacy Policy.

Payment

Prizes will be distributed by DoraHacks to the track Winners and eligible participants according to the requirements and judging criteria for the Quadratic Voting. Sponsor shall not be responsible for prize allocation.

Publicity

Participant, where awarded a Prize,  consents to the use of his/her name and any submitted material attributed to Winner (if true) for advertising and promotional purposes, including without limitation, inclusion in Sponsor’s newsletters, Sponsor’s website, and any of the Sponsor’s social media channels without additional compensation.

Disclaimer

ARCH Tokens will be offered only outside of the United States to non-U.S. persons, pursuant to the provisions of Regulation S of the U.S. Securities Act of 1933, as amended. ARCH Tokens will not be registered under the Securities Act, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.

IN NO EVENT WILL SPONSOR BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE HACKATHON, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

General Conditions

In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Contest is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Rules or (b) terminate the Contest and, in the event of termination, award the Prize at random from among the eligible, non-suspect submissions received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the website or undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages (including attorney's fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Rules shall not constitute a waiver of that provision.

Winner Warranties

Participant represents and warrants that it has not engaged (except as specifically authorized by Archway) and will not engage in any activity relating to the sale of ARCH Tokens (i) in the United States; or (ii) to any U.S. Person for a period of one year from receipt of ARCH Tokens.

No Partnership; Taxes

These Rules do not create any relationship of association, partnership, joint venture or agency between Sponsor and you.  Participant is not authorized to make any representation, contract, or commitment on behalf of Archway, unless specifically requested or authorized in writing to do so by us. Participant is solely responsible for, and will file, on a timely basis, all tax returns and payments required to be filed with, or made to, any federal, state or local tax authority with respect to any prizes or considerations provided by Archway under the Contest.

Release and Limitations of Liability

By participating in the Contest, Participants agree to release and hold harmless the Sponsor, and each of their respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Contest, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the Released Parties) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of the prize (including any travel or activity related thereto), including, but not limited to: (a) any technical errors associated with the Contest, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Contest; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the winner, the cancellation or postponement of the event and/or the flyover, if applicable, or in any Contest-related materials; or (e) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from Participants participation in the Contest or acceptance, receipt or misuse of the prize (including any travel or activity related thereto).

Participant further agrees that in any cause of action, the Released Parties liability will be limited to the cost of entering and participating in the Contest, and in no event shall the Participant be entitled to receive attorney's fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Participant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

Disputes

Except where prohibited, each Participant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the British Virgin Islands. All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, Participants rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of British Virgin Islands, without giving effect to any choice of law or conflict of law rules.

  • Any jurisdiction which is subject to United States, United Nations or other applicable sanctions or embargoes.
